Work Detail On March 28, 2024, EDF Renewables Brasil and Serena Geração (formerly Omega Geração S.A.) finalized a share swap agreement involving their respective stakes in the assets of the Pirapora Solar Complex and the Ventos da Bahia Wind Farm. Following the completion of this transaction, EDF Renewables Brasil now holds 100% ownership of the Photovoltaic Plants comprising the Pirapora Solar Complex, encompassing phases 1, 2, and 3. Similarly, Serena Geração assumes full ownership of the Wind Turbines constituting the Ventos da Bahia Wind Farm, covering phases 1, 2, and 3. This concludes the joint venture between the two companies. The park consists of three phases, representing a total investment of R$ 1.85 billion, funded by BNB and BNDES. Ventos da Bahia comprises 108 wind turbines, with a combined installed capacity of 365 MW. The asset holds numerous power purchase agreements in both the free market (ACL) and the regulated market (ACR), and has allocated over R$ 3.6 million to social projects in nearby communities. Initially developed and operated by EDF Renewables, Ventos da Bahia saw Serena (formerly Omega Geração) acquire respective phases of the project beginning in 2020, initially with a 50% stake. Following the completion of the share swap, the Ventos da Bahia Wind Farm is no longer part of EDF Renewables’ portfolio of assets. The Pirapora Complex, situated in southeastern Brazil within the state of Minas Gerais, hosts the Pirapora Photovoltaic Plants boasting a gross capacity of 400 MWp, marking it as one of the largest solar complexes in South America. The solar energy generated is fully secured through 20-year power purchase agreements. With an investment exceeding R$ 2 billion, including financing from BNDES and BNB, EDF Renewables spearheaded the construction, financing, and operation across all phases. In 2018, Serena (formerly Omega Geração) acquired a 50% stake in the complex. Throughout, EDF Renewables has maintained responsibility for managing the solar asset. Following the completion of the share swap, EDF Renewables Brasil emerges as the sole proprietor of the Photovoltaic Plants.
