Prequalifications are invited for Provision of Logistics and Maritime Agency Services in Malta, including Sea Vessel Clearance, Handling and Transportation Services, to Support Company Operations and Joint Venture Operations Mellitah Oil & Gas BV (https://mellitahog.ly/en/tenders/) invites all specialized companies that possess the capability, competence, experience and the necessary licenses to carry out the required work mentioned below to submit the following electronic documents as described at the end of this announcement in items (49) to (55). The required documents are: 1) The complete legal file (in Arabic). Details are found in items (11) to (33) below. 2) The complete financial file (in Arabic or English and in one of the following currencies only: Libyan Dinar, US Dollar, or Euro). Details are provided in paragraph (34) below. 3) The complete Health, Safety, Environment, and Quality (HSEQ) file (in English). Details are provided in items (35) through (40) below. 4) The complete technical file (in both Arabic and English). Details are provided in items (41) through (48) below. 5) Documents in any language other than Arabic or English will not be accepted. 6) To ensure your prequalification for this tender, all required electronic documents must be submitted in full (in four compressed electronic folders named Legal File, Financial File, HSEQ File, and Technical File, as detailed above in items (1) through (5)). 7) Incomplete or non-compliant submissions will automatically disqualify you from prequalification for this tender. 8) The purpose of submitting these documents is to participate in the prequalification process, based on which suitable and qualified companies will be selected to participate in the following tender: 9) Tender Details: Tender Number: PRQ-203-OFF-26 Subject of Tender: Provision of logistics and maritime agency services in Malta, including vessel clearance, handling, and transportation services, to support the companys operations and joint venture operations The scope of work includes, but is not limited to: Handling the companys equipment and materials at the Malta Free Zone base Renting warehouses and storage yards (open/closed) at the Malta Free Zone base Agency services for supply vessels regarding berthing and clearance (entry and exit) at Malta Free Zone ports Customs procedures at the Malta Free Zone base Services for company personnel transiting through the Malta base Supplying industrial and/or drinking water for offshore fields Providing weather forecast data Miscellaneous services supplying labor, materials, and equipment as required by the company Transporting equipment according to the OEM (Original Manufacturer) requirements (in accordance with the companys operational requirements) Any other services as required by the company. 10) Conditions and Requirements for Participation in the Prequalification Process: All companies wishing to apply for prequalification for the above tender must meet all the conditions and submit all the required information and electronic documents as specified in this announcement. Any missing documents, as detailed below, will result in automatic disqualification from participating in this tender. 11) A formal letter on your company letterhead addressed to Mellitah Oil & Gas B.C. V. Libya / Pre-Qualification Committee. The letter must contain the following essential information: ¬ A statement of your companys intention to participate in this tender, either individually or jointly with another company. ¬ The name and number of the tender you wish to participate in. ¬ The full official name(s) of the company(s) submitting the bid, its date of establishment, the name of the company representative, and the companys official email addresses and telephone numbers. In the case of a joint bid by two or more companies, the participants must specify their respective roles in detail in this letter. This includes defining roles related to contact person, task distribution, responsibilities, and management. They must also jointly seal and sign this letter. 12) Print this announcement and stamp all pages with your company seal, then send us an electronic copy along with the other required documents. 13) An official letter from your company addressed to the Chairman of the Tenders Committee at Mellitah Oil & Gas BV Libya, acknowledging your full awareness of all the circumstances and details surrounding the execution of the work covered by this announcement. 14) An official letter addressed to the Chairman of the Tenders Committee at Mellitah Oil & Gas BV Libya, in which you pledge your commitment to comply with all applicable legislation in Libya. 15) Legal documents required from the company(s) submitting this tender: Submission of all necessary licenses and all legal documents proving registration in Libya, valid for a period of no less than six (6) months from the date of this announcement. These documents are: For companies submitting individually: (Libyan companies or branches of foreign companies registered in Libya). 16) An electronic copy of the commercial register. 17) An electronic copy of the Chamber of Commerce and Industry register. 18) An electronic copy of the commercial or industrial activity license. 19) An electronic copy of the tax payment certificate. 20) An electronic copy of the Ministry of Economys approval (if applicable). 21) An electronic copy of the companys articles of incorporation and bylaws. 22) Electronic copies of any other licenses or approvals relevant to the subject matter of this announcement. 23) A written undertaking from your company confirming the complete alignment between the type of activity licensed to you and listed in the section "Your Companys Objectives" and the scope of work published in this announcement. For Joint Ventures (JVs): 24) All documents mentioned above in items (12) through (42). 25) Submission of documents proving the establishment of a joint venture in accordance with applicable Libyan legislation, whether between two entities (one local and one foreign) or two local entities. All parties to the joint venture must submit their Libyan registration documents. Note: No partner may submit a bid individually or partner with another bidder to participate in the tender. Doing so will result in immediate disqualification from participating in the tender. For joint venture agreements: 26) All documents mentioned above in items (12) through (24). 27) All joint venture partners must submit their Libyan registration documents. 28) The agreement must be approved and certified by the competent authorities in Libya. 29) The agreement must include a joint or several obligation of the joint venture partners to perform all required works and services. 30) The agreement must specify the legal representative of the joint venture partners. Note: No joint venture partner may submit a bid individually or join forces with another bidder to participate in the tender. Doing so will result in immediate disqualification from participating in the tender. For foreign companies: 31) All documents mentioned above in items (12) through (24). 32) If any of the legal documents mentioned above in items (12) through (32), depending on the type of bid you are submitting, are not ready before the closing date of this announcement (this will negatively affect your participation in this bid), you must send an official letter addressed to Mellitah Oil & Gas Company explaining the missing documents in detail, the reason for their non-submission, and undertaking that all these legal documents will be submitted complete and correct in the next stage of this bid (if you pass the prequalification stage). 33) Financial Requirements: Documents demonstrating the companys financial position (for the last three years, 2023, 2024, and 2025) must be submitted, certified by an external auditor. These documents are: the balance sheet report, the income statement report, and the cash flow statement for all participating companies, individually or collectively. These reports must be in Libyan dinars, US dollars, or euros, and in Arabic or English. Documents in any other language or currency will not be accepted. Failure to provide the required documents will result in immediate disqualification from participating in the bid. 34) Health, Safety, Environmental Protection and Quality (HSEQ): The company or companies participating in this tender must submit all of the following documents: 35) Your companys approved safety manual, along with your companys approved health, safety, environmental, and quality (HSEQ) policy. 36) Your companys approved HSEQ regulations. 37) A list of your companys HSEQ procedures. 38) International certifications and ISO certifications relevant to this work that your company holds. 39) An official letter from your company addressed to Mellitah Oil & Gas confirming your commitment to implementing all HSEQ standards, procedures, and regulations followed by Mellitah Oil & Gas.
