Prequalifications are invited for Provision of Engineering, Procurement, Construction (EPC) Services of Subsea Production System (SPS) and Aftermarket Services for Zabazaba and Etan Development Project (WP-4). INTRODUCTION Nigerian AGIP Exploration (NAE) Limited as Operator of the Zabazaba field (PML 103) and Etan (PML102) invites interested and reputable companies with relevant experience to indicate an Expression of Interest (EOI) for the Engineering, Procurement, Construction (EPC) services of Subsea Production System (SPS) for the Zabazaba and Etan development project. Zabazaba and Etan deepwater fields are located at about 140 kilometers offshore Nigeria in water depths of up to 2000 meters. The two fields are about 40km apart with a seafloor canyon between them. Development will be phased considering Zabazaba (PML103) first and then Etan (PML102). The development concept is based on a new hub, with a standalone spread moored FPSO with nameplate oil processing capacity of 150 kbopd and 1.7 MMbbls (minimum) nominal storage capacity. The subsea network consists of 7 subsea horizontal tree systems, manifold systems, production and water injection risers and flowlines including a gas export line. The Zabazaba development will be through a deepwater subsea network consisting of 15 production and 7 water injection wells, 27km of production flowlines and risers, 15km of water injection flowline and risers, 140km gas export pipeline and flowline and a 40km umbilical system (note: lengths provide here are approximate and will be subject to respondents final field layout development). The scope of the EPC for SPS (WP-4), subject of this EOI request, includes the production and injection tree system and manifolds, tie-in connection system, subsea distribution hardware and the subsea control system. NAE hereby invites only capable, reputable and competent Nigerian and International Companies (herein referred as Respondents) with the requisite and demonstrable expertise, experience, skilled manpower and technology to a response in accordance with this notice for expression of interest. SCOPE OF WORK The purpose of the EPC for Subsea Production System is to supply the subsea production system equipment necessary to develop these Offshore fields. The scope of work for the SPS EPC (WP-4) shall include but not limited to the engineering, procurement, fabrication, manufacturing and assembly, testing, maintenance and refurbishment, integration, preservation, storage, loadout, offshore hookup, provision of support for installation, pre-commissioning and start up, and Healthcare support (aftermarket) for the following subsea hardware production systems (SPS). The equipment supply scope for Zabazaba and Etan developments are as listed below. Zabazaba scope is the base case while Etan is optional to be triggered in accordance with the contractual terms. MANDATORY REQUIREMENTS 3.1 Demonstrate that the Company is registered in Nigeria and provide address of registered office in Nigeria and name of legal Entity; if Company is not registered in Nigeria, provide documentary evidence of a liaison/partnership with a Nigerian registered Company (if Respondent is not a Nigerian registered entity). If Respondent is a subsidiary of a Holding Company, provide Name and address of the Ultimate Holding Company, Respondents office for this work. 3.2 Provide copy of relevant and valid NUPRC registration certificate 3.3 Provide Registration No & Category (include CAC Form C02 & C07 and NUPRC Permit and Corporate COREN Certificate). 3.4 Provide Valid Tax clearance for the past 3 years. 3.5 Provide evidence that the Company has performed completion of detailed engineering design, manufacture, and installation support of subsea tree systems and hardware including manifolds, distribution systems, as main contractor, for a deepwater project in water depth of minimum 800m. Failure to submit any of the above documents, may result in the disqualification of the applicant. 4. RE-QUALIFICATION REQUIREMENTS In addition to the mandatory requirements above, only those Respondents able to demonstrate and substantiate with relevant verifiable documents of proven experience, available resources and readiness to undertake the work will be considered for the subsequent formal tendering phase. In consideration of this, the Respondents are required to provide together with the Mandatory Requirement as per paragraph 3 before, the evidence of the following. 4.1 TECHNICAL CAPABILITY & HSE MANAGEMENT Provide evidence of detailed engineering design, manufacture and installation support of Subsea Tree systems and hardware including subsea manifolds, distribution hardware for deepwater projects in water depths of minimum 800m. Provide detailed evidence of materials selected for deepwater project (of minimum 800m water depth) tree system, manifolds and controls distribution system. Provide details of key challenges/lessons learnt in the execution of Subsea Hardware aftermarket/healthcare scope as main contractor for projects in water depths of minimum 800m and how these challenges were successfully addressed and/or restored. Provide evidence of in-country owned or leased fabrication yard, minimum yard size of 100,000sqm and 200MT craneage required for assembly of subsea hardware and quayside with a minimum load bearing capacity of 30MT/sqm to support available craneage and anticipated loads. Where the respondent has executed a detailed engineering design in Nigeria Deepwater in water depth of above 800m, the respondent is to provide evidence of the engineering scope completed in-country, indicating the following: (a) Engineering scope (b) Total man hours spent (c) Total duration of scope completed in-country (d) Challenges experienced and how the challenges were successfully addressed Provide project completion certificates of participation/execution as main contractor of the supply of Deepwater Subsea Production Systems in water depths of minimum 800m. Provide evidence of technical document (drawings and datasheets) of: Production and Injection Christmas Trees Manifolds Subsea Control Module Master Control Station Hydraulic Power Unit Electrical Power Unit previously executed and deployed in Nigeria Deepwater and/or any other offshore location. of minimum 800m water depth Provide validity of Quality Management System in accordance with the requirements of ISO9001 and certified by ISO approved and registered quality assurance company. Provide ISO9001 certificate. Provide evidence of HSE Management System as implemented for the delivery of Subsea Production Systems and for any similar executed projects in the past 10 years and the company interfaces with Subcontractors HSE system. 4.2 FINANCIAL CAPABILITY Provide Company audited financial statements for the last three (3) years. Please provide certified translations where accounts are published in a language other than English. Provide financial statements of Operating Company and Ultimate Guarantor (e.g. Parent, holding companies etc.). Have you previously received short term financing of up to US$300million? If yes, provide evidence. Provide evidence of Project Finance plan for similar executed work showing the contract duration. 5. NIGERIAN CONTENT (NC) REQUIREMENTS 5.1. Mandatory NC Requirements for this Pre-Qualification As part of this pre-qualification, Respondents shall provide a written confirmation, signed by an authorized representative, stating their readiness to comply with applicable Nigerian Content Requirements as will be approved by NCDMB (during ITT) in line with the provisions of the NOGICD Act (2010) and applicable enablers from 2024 Presidential Directives, before being considered eligible to proceed from the ITT into Commercial Phase of this process. Its underlined that such Requirements will be better detailed in the subsequent ITT phase for short listed Vendors.
